Welcome to Volues Technologies LTD (“Volues”, “We”, “Us”, or “Our”).
These Terms of Service (“Terms”) govern your access to and use of:

Our enterprise software solutions
Our digital marketing services
Any other products or services provided by Volues
By accessing or using our services, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.

2. Company Information
Volues Technologies LTD

A company duly incorporated under the laws of the Federal Republic of Nigeria.

These Terms are governed by the laws of the Federal Republic of Nigeria.

3. Scope of Services
Volues provides, but is not limited to:

• Mobile Application Development
• Enterprise Software Solutions
• Cloud Infrastructure & AI Integration
• Digital Marketing Services
• Software Consulting and Technical Advisory

Specific services shall be governed by separate proposals, contracts, or Statements of Work (SOW).

4. Eligibility
You must:
Be at least 18 years old
Have legal capacity to enter into binding contracts
Provide accurate and truthful information
If you are acting on behalf of a company, you confirm you have authority to bind that entity.

5. User Obligations

You agree not to:
Use our services for unlawful purposes
Interfere with system security or integrity
Attempt unauthorized access to systems
Reverse engineer or replicate proprietary software
Upload malicious code or harmful content
Violate intellectual property rights

Volues reserves the right to suspend or terminate access for violations.

6.Intellectual Property Rights

7.A. Volues Intellectual Property

All materials, source code, software architecture, branding, documentation, and proprietary frameworks remain the exclusive property of Volues unless otherwise agreed in writing.

B. Client-Owned Deliverables

Upon full payment:

Custom-developed deliverables may be transferred to the client as agreed in the contract.
Volues retains the right to showcase completed projects in its portfolio unless restricted by confidentiality agreement.

C. Third-Party Tools
Projects may incorporate licensed third-party software. Such components remain subject to their respective licenses.

7. Payment Terms
Fees shall be defined in project proposals or contracts.
A minimum upfront deposit (e.g., 50%) may be required before commencement.
Remaining balance shall be due as specified in the agreement.
Late payments may attract interest or suspension of services.
Payments are non-refundable unless otherwise stated in writing.
Failure to pay may result in suspension, withholding of deliverables, or legal recovery.

8. Confidentiality
Both parties agree to:
Protect confidential information
Use confidential information solely for contractual purposes
Not disclose confidential materials without consent
Confidential obligations survive termination of services.

9. Data Protection
All personal data is handled in accordance with our Privacy Policy and applicable laws including the Nigeria Data Protection Act.

Where Volues processes data on behalf of clients, a separate Data Processing Agreement may apply.

10. Warranties and Disclaimers
Volues warrants that:
Services will be delivered with reasonable professional skill and care.
Except as expressly stated:
Services are provided “as is” and “as available.”
We do not guarantee uninterrupted, error-free operation.
We do not guarantee specific commercial outcomes (e.g., revenue increase, SEO rankings, marketing performance).

11. Limitation of Liability
To the maximum extent permitted by law:
Volues shall not be liable for indirect, incidental, consequential, or special damages.
Total liability shall not exceed the total fees paid for the specific service giving rise to the claim
Nothing excludes liability for fraud or willful misconduct.

12. Indemnification
You agree to indemnify and hold harmless Volues, its directors, employees, and affiliates from claims arising from:
Misuse of services
Violation of laws

Infringement of third-party rights
Content provided by you

13. Service Suspension and Termination
Volues may suspend or terminate services if:
You breach these Terms

Payment obligations are not fulfilled
Continued service poses legal or security risks

Upon termination:
Outstanding fees become immediately due
Access to systems may be revoked
Data retention shall follow contractual and legal obligations

14. Force Majeure
Volues shall not be liable for delays or failure due to events beyond reasonable control, including:

Natural disasters
Government restrictions
Internet outages
Cybersecurity attacks
Civil unrest

15. Dispute Resolution
Parties shall first attempt amicable resolution.
If unresolved:
Disputes shall be subject to the jurisdiction of competent courts in Nigeria.

Alternatively, parties may agree to arbitration under Nigerian arbitration laws.

16. Amendments
Volues may update these Terms from time to time.
Updated Terms will:
Be posted on our website
Reflect a revised effective date
Continued use of services constitutes acceptance.

17. Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.

18. Entire Agreement
These Terms, together with:
Project Agreements
Statements of Work

Privacy Policy
Constitute the entire agreement between the parties.
